The Ignite Mastermind Terms & Conditions

By enrolling in The Ignite Mastermind by Matthew Ferry International, LLC (aka, The Company), you (aka, Member) agree to the following terms and conditions:

Duration: The IGNITE Mastermind is conducted over approximately a 9-month period starting with a Kick-Off call on October 4, 2022, and commencing on June 30, 2023.

 

Group Calls: This agreement guarantees a minimum of thiry-two (32) calls over a sequential 39-week period, accounting for last-minute emergencies, scheduled vacations, and select US holidays.

 

Call Schedule: Weekly Calls are on most Tuesday at 5pm Pacific, 6pm Mountain, 7pm Central, and 8pm Eastern. 

 

Live Events: Members in good standing attend our hosted live events during the duration of membership as our guest. RSVP’s are required.

 

Holidays: The Company is closed for vacation during the following periods

Thanksgiving: November 21 to 25, 2022

Christmas: December 19, 2022 to Dec 30, 2022 

Presidents Day: February 20, 2023

Memorial Day: May 29, 2023

 

Investment: The cost of The Ignite Mastermind is determined by the Payment Plan selected during enrollment by the Member. Members agree to adhere to the payment schedule for their selected Payment Plan.

 

Term: Membership in The Ignite Mastermind is non-transferrable. 

 

Early Termination: Should a Member decide to terminate this agreement prior to the end of the nine (9) month period, an immediate one-time payment equal to one-half the amount of the remaining payments will be charged to the credit card on file. If the charge to the card on file is declined, The Company will seek other remedies to collect the balance due.

 

Additionally, a one-time $250 administrative fee will be charged to all members requesting early termination.

 

Termination Notice: Matthew Ferry International, LLC reserves the right to terminate membership at any time with a 30-day notice. If Matthew Ferry International, LLC terminates this agreement, no further monthly payments are due by the Member. 

 

Non-Payment: Failure to pay will result in immediate expulsion from The Ignite Mastermind and forfeiture of all rights and privileges of a full paying member of the program.  

 

Limited Liability: With regard to the services to be performed by Matthew Ferry International LLC pursuant to the terms of this agreement, The Company shall not be liable to the Member, nor to anyone who may claim any right due to this relationship with the Member, for any acts or omissions in the performance of said services on the part of The Company or on the part of the agents or employees of The Company except when said acts or omissions of The Company are due to their willful misconduct or culpable negligence. The Member shall hold The Company free and harmless from any obligations, costs, claims, judgments, attorney’s fees, and attachments arising from or growing out of the services rendered to the Member pursuant to terms of this Agreement or any way connected with the rendering of said services, except when the same shall arise due to the willful misconduct or culpable negligence of The Company or its agents, representatives, or employees who are adjudged to be guilty of willful misconduct or culpable negligence by a court of competent jurisdiction.

 

The Ignite Mastermind program is designed for people who clearly understand they are responsible for their own health and wellbeing before, during, and after the program. It is not therapeutic in design, intent, or methodology, and it is not to be used as a substitute for medical treatment, psychotherapy, or health program of any nature, regardless of what you may believe or have heard from anyone. We advise you that The Company staff or team members are not mental health professionals.

 

By enrolling in The Ignite Mastermind, I acknowledge and understand that The Ignite Mastermind program was designed for people who clearly understand they are responsible for their own health and wellbeing before, during, and after the program and who wish to enhance their living skills. I represent that I am not participating in the program to handle any physical, mental, or emotional problems, and I fully understand that no portion of the program is delivered or supervised by health professionals. 

 

I hereby indemnify and hold The Company, its officers, managers, shareholders, affiliates, employees, agents, and/or people who assist harmless from all loss, cost, obligation or damage arising out of my participation in The Ignite Mastermind program or in other activities or events related to The Ignite Mastermind program. 

 

Arbitration/Governing Law: This Agreement will be governed by and construed in accordance with the internal laws of the State of California, excluding that body of laws known as choice of law or conflict of laws. Subject to the provisions of this Section, all disputes, controversies, or claims arising out of or relating to this Agreement will be resolved through mandatory binding arbitration conducted in Orange County, CA. The parties will share the arbitrator’s fees equally, and each party will bear its own costs and attorney's fees. All papers, documents, or evidence, whether written or oral, filed with or presented in connection with the arbitration proceeding will be deemed by the parties and by the arbitrator to be confidential information of both parties. The arbitrator chosen in accordance with these provisions will not have the power to alter, amend, or otherwise affect the terms of these arbitration provisions or the provisions of this Agreement. Notwithstanding the foregoing, nothing in this Section shall prevent either party from applying for and obtaining a temporary restraining order and/or other injunctive relief.

 

Confidentiality - Participation: Member agrees to keep the information shared by and the identity of the other members of the IGNITE Mastermind 100% confidential. Information shared on group calls, on small group calls, on our private group chat platform, at live events, and in one-on-one conversations with other members is PRIVILEGED and PRIVATE information. Sharing details learned as a part of the group with others outside the group without express consent is prohibited. 

 

To ensure each member gets the most out of the program, it is essential that all details - even those thought to be common knowledge - are not discussed or shared outside the group. Member agrees that inviting others to the group calls, giving others access to our conference call line or Zoom meeting room, sharing recordings of calls, or otherwise breaching the confidentiality of the group will result in immediate expulsion.

 

In order to maintain the privacy of the other Ignite Mastermind members, Member agrees to NOT share, publish or otherwise distribute photos taken during our live events, unless otherwise noted or disclosed. Member agrees to NOT post personal information, including the location of other members, on any social media site without the permission of the individual(s) in question.

 

Additionally, The Company respects the privacy and desire of the Member to maintain all communications in the strictest confidence. The Company agrees that any and all Client information and/or correspondence will not be shared with any other party without the written or verbal consent of the Client. 

 

Confidentiality - Proprietary Information: Members recognize and acknowledge that in the course of delivering content for The Ignite Mastermind, Member will have access to and gain confidential information and knowledge relating to The Company's processes, products, and business operations. Member further acknowledges that the maintenance of the proprietary nature of such information is essential to the business interest of The Company.

 

Member agrees that such Materials, Concepts, and Information presented during the term of this agreement, either orally or in writing, is the sole property of The Company, and agrees not to reproduce, copy, duplicate, or modify and resell such materials, or portions of materials, and information as any part of any course, training program, workshop, or consulting business or any similar business activity for the purpose of receiving directly or indirectly any financial gain. 

 

Member agrees to keep the proprietary processes shared, and the confidential information and knowledge received as a result of their participation in The Ignite Mastermind, 100% confidential.

Sharing, teaching, or otherwise distributing materials and proprietary processes or information is a breach of our rights as intellectual property owners. Member agrees to respect our rights and use the information provided in The Ignite Mastermind for their individual use and benefit.

 

Remedies: If any action at law or equity is necessary to enforce or interpret the terms of this agreement, the prevailing party shall be entitled to reasonable attorney’s fees, costs, and necessary disbursements in addition to any other relief to which he may be entitled.

                                               

Parties Bound: This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, executors, administrators, legal representatives, successors, and assigns where permitted by this Agreement.

 

Legal Construction: In case any one of the previous items contained in this Agreement shall for any reason be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision thereof, and this Agreement shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein.

 

Prior Agreements Superseded: This Agreement constitutes the sole and only agreement of the parties hereto and supersedes any prior understandings or written or oral agreements between the parties respecting the within subject matter.

 

Amendment: This Agreement may be amended by mutual agreement of the parties herein in writing to be attached to and incorporated into this Agreement.

 

Notices: Any notice to a party to this Agreement will be in writing at the address first listed above. Delivery of said notice will be verified upon receipt. Member has read this agreement before signing it and Member acknowledges receipt of a copy.

 

Enrollment in The Ignite Mastermind confirms my acceptance of the terms and conditions above.
